ITEM: AUTHORIZATION TO 1) EXECUTE A GUARANTEED MAXIMUM PRICE (GMP) AMENDMENT WITH WHARTON-SMITH, INC. FOR CONSTRUCTION OF THE AQUATICS FACILITY; 2) AMEND AN EXISTING AGREEMENT WITH OHLSON LAVOIE CORPORATION, TO PROVIDE CONSTRUCTION PHASE SERVICES FOR THE AQUATICS FACILITY; AND 3) AWARD A SOLE SOURCE CONTRACT TO WJN, LLC., FOR THE PURCHASE AND INSTALLATION OF A NINJA CROSS SYSTEM AND 4) APPROVE RESOLUTION NO. R2024-14 AMENDING THE GENERAL FUND AND SALES SURTAX CAPITAL FUNDS FOR FISCAL YEAR 2023-2024 BY ASSIGNING FUND BALANCES AND RESERVES, AND REASSIGNING CAPITAL PROJECT BUDGETS TO THE AQUATICS CENTER CONSTRUCTION PROJECT.
REQUEST: Authorization to 1) Execute a Guaranteed Maximum Price (GMP) amendment with Wharton Smith, Inc. for construction of the Aquatics Facility in the amount of $27,964,904; 2) Amend in existing agreement with Ohlson Lavoie Corporation to provide construction phase services for the Aquatics Facility in the amount of 434,809.16; and 3) Award a sole source contract to WJN, LLC, for the purchase and installation of a Ninja Cross System in the amount of $935,000; and 4) Approve Resolution No. R2024-14 amending the General Fund and Sales Surtax Reserves, and reassigning capital project budgets to the Aquatics Center Construction Project.

EXPLANATION: Staff is seeking authorization to:
1. Execute a Guaranteed Maximum Price (GMP) Amendment with Wharton Smith, Inc. for the construction of an aquatics facility in the amount of $27,964,904. This contract was originally awarded by Council on August 8, 2023, pursuant to RFQ# 202327. The GMP consists of:
• 7,526 square foot pool house
• Spectator seating up to 416 people
• Shade Structures/Cabanas
• Pool Equipment Yard
• Parking
• Landscaping
• Locker rooms
• Offices
• Concession area
• Full kitchen equipment
• 64 Meter competition pool with diving and moveable bulkhead
• 8,000 square foot multi-purpose recreation pool
• Zero depth entry pool
• Play structure
• Splash area
• Learn to swim pool
• Warm up Pool
• Full Ninja Cross System
2. Amend an existing agreement with Ohlson Lavoie Corporation (OLC) in the amount of $434,809.16. The scope of work includes architecture and engineering services to provide construction administration services during construction. This contract was originally awarded by Council on January 10, 2023, pursuant to RFQ# 202214
3. Award a sole source contract to WJN, LLC/DBA Ninjacross Systems in the amount of $935,000 for the purchase and installation of a Ninja Cross System, including certification and training. The Ninja Cross System would be the only such system currently in the State of Florida and includes an exclusivity clause whereby the contractor shall not sell/install any such system in Palm Beach County for a period of three (3) years after the opening of the facility.
4. Approve Resolution No. R2024-14, a budget amendment to assign General Fund balance of $11,500,000, Sales Surtax Fund Balance of $4,000,000, Facility & Infrastructure Reserve balance of $4,500,000, and capital project balances of approximately $2,500,000 to the Aquatics Complex Construction Project.
